Alaris Closes its Previously Announced Bought Deal Equity Offering



CALGARY, ALBERTA--(Marketwire - Dec. 12, 2011) -

Alaris Royalty Corp. ("Alaris" or the "Corporation") (TSX:AD) is pleased to announce that it has closed its previously announced short-form prospectus offering of common shares ("Common Shares") of the Corporation (the "Offering"), on a bought-deal basis, through a syndicate of underwriters (the "Underwriters") led by Acumen Capital Finance Partners Limited and including Cormark Securities Inc. and Canaccord Genuity Corp., resulting in gross proceeds of $40,053,000. The Offering consisted of 2,154,000 Common Shares issued at a price of $16.25 per Common Share as well as an over-allotment option (the "Over-Allotment Option") which was exercised by the Underwriters, whereby they purchased an additional 310,800 Common Shares at the same price in order to cover over-allotments.

The net proceeds of the Offering will be used to reduce the Corporation's indebtedness under its credit facility (the "Facility"). Alaris is expecting to carry approximately $5,900,000 of debt on its Facility immediately after the Offering.

The securities offered pursuant to the Offering have not been registered under the United States Securities Act of 1933, as amended, and may not be offered or sold within the United States absent registrations or an exemption from the registration requirements. Alaris provides alternative financing to private companies (the "Private Company Partners") in exchange for royalties or distributions with the principal objective of generating stable and predictable cash flows for dividend payments to its shareholders.
