Alaris Royalty Corp. Provides an Update Regarding S.M. Group

CALGARY, Alberta, Sept. 05, 2017 (GLOBE NEWSWIRE) -- Alaris Royalty Corp. ("Alaris" or the "Corporation") (TSX:AD) is providing an update today regarding the arbitration process S.M. Group International LP (“SM” or the “Company”) has been involved in.

SM has now received the final arbitration award from the international tribunal.  While SM was successful in the process on a number of the key claims, the cash award for damages to SM was substantially less than the Company and their advisors had been expecting.  The lengthy judgment is being reviewed by all parties to determine next steps and to verify various details, including what amounts Alaris may be able to collect from the award to SM.  As Alaris previously disclosed, a substantial cash award was required to provide the capital to repay Alaris for unpaid distributions ($11 million) and unsecured promissory notes ($17 million). In the coming weeks Alaris will have a better idea of the impact of the judgment on SM’s ability to pay these amounts outstanding.  Alaris also has a $10 million promissory note that has first security on SM assets and collection of that amount is not in question.  Alaris, along with management of SM, must now review the alternatives available to SM to pay amounts owed to Alaris following the lower arbitration award.

SM has not made Q3 distribution payments to Alaris due to continued cashflow shortfalls in the business.  This result will have no material impact on Alaris’ payout ratio as SM had only made $200,000 of payments thus far in 2017.  SM continues to service all of its obligations to its senior lenders but no distributions are expected to be paid to Alaris in 2017.

Alaris will provide further updates on matters relating to SM when available.

About the Corporation:

Alaris provides alternative financing to private company partners (the “Partners”) in exchange for distributions with the principal objective of generating stable and predictable cash flows for dividend payments to its shareholders.  Distributions from the Partners are adjusted each year based on the percentage change of a "top line" financial performance measure such as gross margin and same-store sales and rank in priority to the owners' common equity position.

Statements other than statements of historical fact contained in this news release may be forward-looking statements under applicable securities legislation, including, without limitation, management's expectations, intentions and beliefs concerning: the impact of the arbitration award on SM and Alaris and amounts to be received by Alaris from the arbitration proceeds.  Many of these statements can be identified by looking for words such as "believe", "expects", "will", "intends", "projects", "anticipates", "estimates", "continues" or similar words or the negative thereof. By their nature, forward-looking statements require Alaris to make assumptions and are subject to inherent risks and uncertainties.  Assumptions about the performance of the Canadian and U.S. economies over the next 24 months and how that will affect Alaris’ business and that of its Partners are material factors considered by Alaris management when setting the outlook for Alaris.  Key assumptions include, but are not limited to, assumptions that the Canadian and U.S. economies will grow moderately over the next 12 months, that interest rates will not rise in a material way over the next 12 to 24 months, that Alaris will be able to achieve resolutions with respect to issues with SMi, Agility, Kimco and SCR on terms materially in line with management’s expectations, that Alaris will achieve the benefits of any concessions or relief measures provided to any Partners, that the Partners will continue to make distributions to Alaris as and when required and in line with management’s expectations, that the businesses of the Partners will continue to grow, what the Corporation expects to experience regarding resets to its annual royalties and distributions from its Partners upon the reset dates for each Partner, and that Alaris will have the ability to raise required equity and/or debt financing on acceptable terms.  Management of Alaris has also assumed that capital markets will remain stable and that the Canadian dollar will remain in a range of approximately plus or minus 10% relative to the U.S. dollar over the next twelve months.  In determining expectations for economic growth, management of Alaris primarily considers historical economic data provided by the Canadian and U.S. governments and their agencies.
